The Pequod's Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pequod's Pizza or its affiliates or licensors. You may not use such marks without the prior written permission of Pequod's Pizza. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with obtaining our food and restaurant services. This license does not include any right to:

  • Resell or commercially exploit the Site or its Content;
  • Collect and use any product listings, descriptions, or prices;
  • Make any derivative use of the Site or its Content;
  • Download or copy account information for the benefit of another merchant or business;
  • Use data mining, robots, or similar data gathering and extraction tools.

Any unauthorized use terminates the limited license granted by Pequod's Pizza. All rights not expressly granted in these Terms are reserved by Pequod's Pizza.

6. Ordering, Payment, and Pricing

Order confirmation does not guarantee fulfillment. In the event that an item you have ordered becomes unavailable after your order is placed, we will contact you to offer a substitute item or a partial refund.

8. Limitation of Liability

  • Your User Content (as applicable), including any claim that your User Content infringes upon, misappropriates, or violates the intellectual property, privacy, or other rights of any person or entity;
  • Your breach of any representation, warranty, or obligation set forth in these Terms;
  • Any misuse of your account or account credentials;
  • Any fraudulent, deceptive, or illegal activity by you in connection with your use of the Site.

Pequod's Pizza reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defense. You shall not settle any indemnified claim without our prior written consent. This indemnification obligation will survive the termination of these Terms and your use of the Site.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to these Terms, their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pequod's Pizza's primary place of business is located, without regard to its conflict of law provisions.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States, and you consent to personal jurisdiction in such courts and waive any objection to the laying of venue in such courts. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Compliance with consumer protection requirements is taken seriously. Our practices are designed to comply with all applicable federal laws administered and enforced by the Federal Trade Commission ("FTC"), including the FTC Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive acts or practices in commerce. Users in California further acknowledge their rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), which are addressed in our Privacy Policy.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Pequod's Pizza at [email protected] to attempt to resolve any dispute informally. We will use good faith efforts to resolve any dispute within thirty (30) calendar days of receiving notice of your concern. During this thirty-day informal resolution period, any applicable statutes of limitations shall be tolled.

11.2 Binding Arbitration

If the parties are unable to resolve a dispute informally within the thirty (30) day period, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by a recognized arbitration organization, such as the American Arbitration Association (AAA), under its applicable commercial or consumer arbitration rules, before a single arbitrator.

Judgment on the Award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding on both parties. The parties agree that any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action.

11.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PEQUOD'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. This class action waiver is an essential element of this arbitration agreement and cannot be severed from the agreement to arbitrate.

11.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent or enjoin actual or threatened misappropriation, infringement, or violation of intellectual property rights pending the outcome of arbitration. Nothing in this section shall limit either party's right to seek provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

11.5 Time Limitation on Claims

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR SUCH CLAIM SHALL BE FOREVER BARRED, NOTWITHSTANDING ANY STATUTE OF LIMITATIONS TO THE CONTRARY.

12. Term and Termination

These Terms shall remain in full force and effect while you use the Site or our services. We reserve the right, at our sole discretion and without notice or liability, to:

The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the intent of the parties as expressed in the original provision shall be preserved to the fullest extent possible.

The failure of Pequod's Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision of these Terms shall only be effective if made in writing and signed by an authorized representative of Pequod's Pizza. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default of the same or similar nature.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or terms published by Pequod's Pizza on the Site, constitute the entire agreement between you and Pequod's Pizza with respect to your use of the Site and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between you and Pequod's Pizza with respect to the subject matter hereof.

You agree that no joint venture, partnership, employment, franchise, or agency relationship exists between you and Pequod's Pizza as a result of these Terms or your use of the Site. These Terms shall not be construed against either party by reason of the drafting or authorship thereof.

16. Force Majeure

Pequod's Pizza shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, supply chain disruptions, power outages, internet or telecommunications failures, civil unrest, war, or terrorism. In such events, our obligations will be suspended for the duration of the force majeure event, and we will use reasonable efforts to resume normal operations as soon as practicable.

17. Third-Party Services and Links

The Site may integrate with or contain links to third-party websites, platforms, or services, including but not limited to third-party food delivery platforms, payment processors, and social media platforms. These third-party services are governed by their own terms of service and privacy policies, and Pequod's Pizza is not responsible for their content, practices, or policies.
